1. About These Terms
These Terms of Service apply to your use of thecabinetmate.com, any associated online store, and any products or services supplied by The Cabinet Mate.

In these Terms, “The Cabinet Mate”, “we”, “us” and “our” mean Peter Carr trading as The Cabinet Mate.
“You” and “your” mean the person or legal business entity accessing the website, placing an order or using one of our products or services.
By accessing our website, creating an account, placing an order, downloading a product or using our services, you agree to these Terms and our Privacy Policy.
If you are placing an order on behalf of a company or another business entity, you confirm that you have authority to bind that entity to these Terms.
Nothing in these Terms excludes, restricts or modifies any rights or remedies that cannot lawfully be excluded, including rights available under the Australian Consumer Law.
2. Our Products and Services
The Cabinet Mate supplies products and services intended primarily for Cabinet Vision users and cabinetry businesses, including:

Cabinet Vision User Created Standards, commonly referred to as UCSs

Software applications and utilities

SQL-based applications and reporting tools

Cabinet Vision catalogues, reports, templates and configuration files

Digital documentation and training materials

Remote installation and setup assistance

Custom programming and development
-
Cabinet Vision training and consulting

Machine, report and system configuration services
-
Other related digital products and professional services
Individual product descriptions may specify additional requirements, inclusions, licence conditions or limitations.
Where a product description, quotation or written service agreement conflicts with these Terms, the more specific product description, quotation or written agreement will apply to that purchase.
3. Business and Commercial Use
Our products are designed to be used commercially by cabinetry, joinery, manufacturing and design businesses.
Unless the applicable product page or quotation states otherwise, purchasing a product grants the purchasing business a licence to use that product internally as part of its normal commercial operations.
The licence does not permit you to sell, distribute, sublicense or provide the product itself to another business.
4. Software Licence
Unless otherwise stated in writing, each digital product is licensed rather than sold.
After receiving full payment, we grant the purchasing business a limited, non-exclusive and non-transferable licence to install and use the product:

Within one legal business entity

On Cabinet Vision systems and computers owned, leased or controlled by that business
-
For that business’s internal design, manufacturing, estimating, reporting or production activities
-
For the version or versions of Cabinet Vision identified on the product page or in the applicable quotation
The licence may be used by the purchasing business’s employees and contractors while they are performing work for that business.
A separate licence is required for:

Another company or legal business entity
-
An unrelated business operating from the same premises
-
A customer, supplier, subcontractor or franchisee that wishes to use the product independently
-
Resale, redistribution or commercial provision of the product to third parties
A product page or quotation may specify different licence conditions, including a per-user, per-machine, per-site or subscription licence.
5. Licence Restrictions
You must not, without our prior written permission:

Sell, resell, sublicense, lease or distribute our products
-
Give copies of our products to another business or person
-
Publish, upload or share our products through websites, forums, file-sharing services, social media, cloud drives or source-code repositories
-
Use our products to create a competing product for resale or distribution
-
Remove copyright, author, branding or licence information
-
Bypass or attempt to bypass licence controls
-
Represent that you created or own our products
-
Extract substantial parts of a product for use in a competing commercial product
-
Provide another person with access to download links, licence keys or customer account credentials
You may modify an editable UCS, script or configuration file for your own internal business use.
However:

The modified product remains subject to these Terms
-
You may not distribute the original or modified product
-
We are not responsible for problems caused by your modifications
-
Assistance with a modified product may require the purchase of support or custom development services
6. Ownership and Intellectual Property
The Cabinet Mate and its licensors retain all ownership and intellectual-property rights in:

Software source code
-
UCSs and scripts
-
Applications and utilities
-
Program logic and processes
-
Documentation and training materials
-
Product names and branding
-
Website content
-
Graphics, images and videos
-
Reports, templates and downloadable files
-
Updates, corrections and modified versions of our products
Your purchase gives you permission to use the applicable product under the licence described in these Terms.
It does not transfer ownership of the product or its intellectual property to you.
Unless a written quotation or agreement expressly states otherwise, intellectual property in custom-developed software, UCSs, scripts, reports, templates and other deliverables remains owned by The Cabinet Mate.
The customer receives a licence to use the custom deliverable within its own business.
A quotation may provide for exclusive ownership or an assignment of intellectual property where this has been specifically agreed and priced.
7. Cabinet Vision and Third-Party Products
The Cabinet Mate is an independent business.
Unless expressly stated otherwise, The Cabinet Mate is not affiliated with, sponsored by or endorsed by Hexagon, Cabinet Vision, Shopify, Microsoft or any machine manufacturer.
“Cabinet Vision”, “Hexagon” and other third-party product names, trademarks and logos belong to their respective owners.
Our products may interact with third-party software, databases, machine controllers, post-processors, operating systems and hardware.
Your use of those third-party products remains subject to the terms and licensing requirements of their respective suppliers.
We do not supply a Cabinet Vision licence, Microsoft licence, SQL Server licence, machine licence or any other third-party licence unless expressly included in the applicable product description or quotation.
8. System Requirements and Compatibility
Before purchasing, you are responsible for checking:

The supported Cabinet Vision version

Required modules or licences
-
Operating-system requirements
-
Database requirements
-
Machine and post-processor requirements
-
Required tools, tool IDs or tooling configuration
-
Any other requirements listed on the product page
Compatibility information is based on the software versions and configurations available to us when the product is released or updated.
Cabinet Vision, Windows, Shopify, SQL Server, machine software and other third-party systems may be changed by their respective suppliers without our control.
We do not guarantee that a product will remain compatible with every future version, update or configuration of a third-party system.
Where we release a compatibility update for a product you have purchased, it will be supplied under the update provisions in these Terms.
9. Digital Delivery
Digital products are normally delivered electronically.
Delivery may occur through:

An email containing a download link or attachment

Access through your customer account

A file-transfer service

A licence or activation email

Another electronic delivery method described on the product page
You are responsible for providing a correct and accessible email address when placing your order.
You must contact us within a reasonable time if you do not receive your product.
You should check your spam and junk-mail folders before contacting us.
Download links may expire or have download limits.
We may provide a replacement link where reasonably required after verifying your purchase.
You are responsible for securely storing copies of your downloaded products and licence information.
10. Installation and Setup Assistance
Unless the relevant product page expressly states otherwise, the purchase price of a digital product does not include:

Tool setup

Testing on your machinery

Troubleshooting of your computer or network

Setup on additional systems

Correction of unrelated Cabinet Vision or computer problems
Customers who require installation, configuration or setup assistance must purchase the applicable setup or support service separately.
Purchasing setup assistance does not include unrelated IT work, Cabinet Vision licensing costs, third-party software costs, machine servicing, tooling or custom programming unless expressly included in the service description or quotation.
Before setup assistance begins, you must ensure that:

Cabinet Vision is installed and properly licensed

Your computer and network are operating
-
Required administrator access is available
-
You have access to relevant passwords and licences
-
A reliable internet connection is available
-
Remote-access software can be used
-
Current backups have been completed
-
An authorised and competent person is available where required
Additional work caused by incorrect system information, missing access, third-party faults or issues outside the agreed scope may require an additional support purchase or quotation.
11. Remote Access
When you request remote support, installation or configuration, you authorise us to remotely access the relevant computers and systems for the purpose of performing the agreed work.
You remain responsible for:

Supervising access where appropriate

Closing confidential or unrelated files
-
Maintaining current backups
-
Providing accurate instructions
-
Confirming which systems may be accessed
-
Ensuring that you have authority to provide access
-
Reviewing and testing the completed work
We will take reasonable care while accessing your systems.
However, computer systems, Cabinet Vision databases, scripts and machine configurations can vary significantly between customers.
Nothing in this section excludes liability that cannot lawfully be excluded.
12. Bug Fixes and Product Updates
Bug fixes and updates that we release for a product you have purchased will be supplied at no additional charge unless the applicable product page, licence or quotation states otherwise.
Updates may include:

Correction of identified software defects

Performance and reliability improvements
-
Improvements to existing functionality
-
Compatibility changes
-
Interface improvements
-
Documentation changes
-
Security-related changes
Updates will normally be sent automatically to the email address associated with your original order or customer account.
They may also be made available through your account or another electronic delivery method.
“Sent automatically” means that the update is delivered or made available to you automatically.
It does not mean that we will remotely install the update on your system.
You are responsible for:

Keeping your email address current

Downloading the update
-
Reviewing update instructions

Backing up your system
-
Installing the update
-
Testing the update before production use
Installation assistance for updates is not included and must be purchased separately where required.
Free updates do not include:

Installation or setup services

Training
-
Custom modifications

Changes requested only for your individual workflow

New products
-
Separately advertised add-ons or modules
-
Redevelopment required because of an unusual or unsupported system configuration

Work required to repair customer modifications
-
Work required because of a third-party system fault
-
Major new functionality sold as a separate product
We may discontinue development or updates for an older product or unsupported third-party software version.
Where reasonably practicable, we will provide notice before ending ongoing update support for a product.
13. Customer Responsibilities and Production Testing
Our products may affect Cabinet Vision designs, reports, material calculations, pricing, CNC output, machining operations, labels and production data.
You are responsible for independently checking all output before relying on it.
Before using a product in live production, you must:

Back up your Cabinet Vision data

Review the product settings
-
Verify dimensions and material information
-
Verify tooling and tool IDs
-
Verify machining depths and positions
-
Review generated CNC output
-
Use Cabinet Vision simulation or machine simulation where available
-
Test the product on scrap or non-production material where appropriate
-
Confirm that the result is suitable for your machine, tooling and manufacturing process
-
Ensure that the machine is operated by a trained and authorised person
You must not run unverified CNC programs on production material.
You remain responsible for the final design, engineering, manufacture, pricing and installation of your work.
Our products are workflow and automation tools.
They do not replace competent design review, engineering advice, machine safety procedures or operator judgment.
14. Orders
Placing an order is an offer to purchase the selected product or service.
An order is accepted when we:

Receive payment

Issue an order confirmation

Deliver the digital product
-
Provide access to the service
-
Otherwise confirm acceptance
We may reject or cancel an order where:

Payment is not authorised
-
The product has been incorrectly priced
-
The product cannot lawfully be supplied

We reasonably suspect fraud or misuse

The order contains incorrect information

We cannot provide the requested service

An obvious website or product-description error has occurred
If we cancel an order after receiving payment and no product or service has been supplied, we will refund the amount paid for the cancelled item.
15. Prices and GST
Unless stated otherwise:

GST is included where applicable

Payment must be made through the payment methods offered at checkout

International customers are responsible for taxes, duties or charges imposed in their own jurisdiction
Prices may change at any time.
A price change will not affect an order that we have already accepted.
Obvious pricing errors may be corrected.
If an obvious error affects an order you have placed, we will give you the option of paying the correct price or receiving a refund.
Discounts, bundles and promotional offers may have separate conditions.
16. Refunds, Faults and Australian Consumer Law
Our products and services come with rights and guarantees that cannot be excluded under the Australian Consumer Law where that law applies.
Nothing in these Terms excludes, restricts or modifies:

A right or remedy under the Australian Consumer Law

Any other statutory right that cannot lawfully be excluded
Depending on the circumstances, customers may be entitled to a repair, replacement, correction, resupply, refund, cancellation or compensation where a product or service fails to meet an applicable consumer guarantee.
We are not required to provide a refund merely because you:

Changed your mind

No longer require the product
-
Purchased the wrong product or Cabinet Vision version despite the compatibility information being clearly displayed

Failed to review the product description
-
Do not have the required Cabinet Vision modules or licences
-
Do not have the required machine, tooling or computer configuration
-
Prefer a different product
-
Are unable or unwilling to install the product
-
Expected setup, customisation or training that was not included
-
Modified the product and caused it to stop operating correctly
This change-of-mind policy does not affect any right you have under the Australian Consumer Law.
Where you report a problem, we may require reasonable information to assess it, including:

Your order number
-
Cabinet Vision version
-
Relevant system information
-
Screenshots or error messages
-
A copy of the affected job or test file
-
Steps required to reproduce the issue
-
Remote access where reasonably necessary
You must give us a reasonable opportunity to investigate and correct a problem.
A problem caused by an unsupported version, customer modification, incorrect setup, third-party software, machine configuration, database corruption or failure to follow instructions may not be a defect in our product.
Assistance in those circumstances may require a separate support purchase.
Our separate Refund Policy also applies and should be read together with these Terms.
If the Refund Policy conflicts with a non-excludable right under Australian law, the law prevails.
17. Services and Custom Development
Setup assistance, consulting, training and custom development are supplied according to the scope described on the product page, booking confirmation or quotation.
Unless expressly included, a service does not include:

Unlimited revisions

Unlimited support

Future modifications
-
Onsite attendance
-
Travel
-
Third-party licence fees

Machine servicing
-
General IT support
-
Correction of unrelated system problems

Work outside the agreed scope
Custom development is based on the information and examples supplied by the customer.
You are responsible for ensuring that your requirements are complete and accurate.
Changes to the agreed scope may require an additional quotation.
We may use reasonable professional judgment when implementing requirements that do not specify every technical detail.
Estimated completion dates are estimates and may be affected by customer response times, access availability, technical complexity and third-party systems.
18. Customer Materials and Instructions
You confirm that you have the right to provide us with any files, databases, drawings, photographs, logos, code, documentation or other material supplied for setup, support or custom development.
You grant us permission to use those materials only as reasonably required to:

Provide the requested service

Test the product or solution
-
Troubleshoot reported problems

Maintain appropriate business records

Comply with legal obligations
You remain responsible for the legality and accuracy of your materials and instructions.
19. Accounts and Security
You are responsible for maintaining the confidentiality of your account credentials, download links and licence information.
You must notify us promptly if you believe that:

Your account has been accessed without permission

A download link has been shared or compromised
-
A licence has been copied or misused
-
Your contact email is no longer secure
You are responsible for activity carried out through your account unless the activity resulted from our failure to take reasonable security precautions.
We may suspend access while investigating suspected fraud, security incidents or licence misuse.
20. Website Availability and Content
We aim to keep the website and online services available, but we do not guarantee uninterrupted access.
We may temporarily restrict access for:

Technical faults

Matters outside our reasonable control
Product descriptions, demonstrations, screenshots, examples and videos are provided to explain the general operation of a product.
Actual results may vary according to Cabinet Vision version, catalogue configuration, construction methods, materials, machine setup, tooling and customer settings.
We will take reasonable steps to correct material website errors when identified.
21. Third-Party Services and Links
Our website may contain links to third-party websites or use services provided by Shopify, payment processors, email platforms, remote-access providers and other suppliers.
We do not control third-party websites or their terms, privacy practices or availability.
Your use of a third-party service may be subject to that supplier’s own terms.
The Cabinet Mate is powered by Shopify.
Purchases made through our store are transactions between you and The Cabinet Mate.
Shopify is not the seller of our products or services.
22. Privacy
We collect and handle personal information in accordance with our Privacy Policy and applicable Australian privacy laws.

If you provide feedback, suggestions or a review, you give us permission to use, reproduce and display that material for business and promotional purposes.

We will not materially alter the meaning of a published customer review.

25. Suspension and Termination
We may suspend website, account, update or licence access where we reasonably believe that:

Suspension is required by law
Where the issue is capable of being corrected, we will generally give you a reasonable opportunity to correct it before permanently terminating access.
We may act immediately where the breach is serious, deliberate, unlawful or creates a security risk.
Termination of your website account does not automatically cancel a valid perpetual licence for a fully paid product unless:

The licence was obtained through fraud

The product is being unlawfully distributed

The licence terms have been materially breached

Termination is otherwise permitted by law
Sections relating to intellectual property, licence restrictions, liability, confidentiality, dispute resolution and any provisions intended by their nature to continue will survive termination.
26. Limitation of Liability
Nothing in these Terms limits liability that cannot lawfully be limited or excluded.
To the extent permitted by law, we are not liable for loss caused by:

Incorrect customer instructions or information

Customer modifications

Use with an unsupported Cabinet Vision version

Incorrect tool or machine settings

A third-party software or hardware failure

Failure to install an available correction or update

Events outside our reasonable control
To the extent permitted by law, neither party will be liable to the other for indirect or consequential loss that was not reasonably foreseeable when the contract was formed.
Where the Australian Consumer Law permits us to limit a remedy for a failure to comply with a consumer guarantee, our liability may, at our option, be limited to:

Supplying the relevant services again

Paying the reasonable cost of having the services supplied again

Repairing or replacing the relevant product

Supplying an equivalent product

Paying the reasonable cost of repair or replacement
Any limitation will apply only where it is fair, reasonable and legally permitted in the circumstances.
Nothing in these Terms excludes liability for fraud, wilful misconduct or any other liability that cannot lawfully be excluded.
27. Indemnity for Misuse
To the extent permitted by law, you are responsible for claims, loss or reasonable costs suffered by us because of:

Your unauthorised distribution or resale of a product

Your infringement of another person’s rights

Materials or instructions supplied by you that infringe another person’s rights

Your deliberate or material breach of these Terms

28. Events Outside Reasonable Control
Neither party is responsible for delay or failure caused by events outside its reasonable control, including:

Industrial action

Widespread system outage

Failure of a third-party platform or supplier

Serious illness or emergency
This section does not remove an obligation to provide a refund or other remedy where required by law.
The affected party must take reasonable steps to reduce the effect of the event and resume performance when reasonably possible.
29. Changes to These Terms
We may update these Terms to reflect:

The current version will be published on our website with its effective date.
A change will generally apply to purchases made after the updated Terms take effect.

30. Assignment
You may not transfer or assign a software licence to another legal business entity without our written consent.
We will reasonably consider a licence-transfer request made as part of the genuine sale or restructure of the purchasing business.
We may assign our rights and obligations as part of a genuine sale, transfer or restructure of The Cabinet Mate, provided that the assignment does not materially reduce your existing rights.
31. Disputes
If a dispute arises, either party should first give the other written notice describing the issue and the requested resolution.
The parties will attempt to resolve the dispute in good faith.

32. Governing Law
These Terms are governed by the laws of New South Wales and the Commonwealth of Australia.
Subject to any right to bring a claim in another court or tribunal under applicable law, the parties submit to the jurisdiction of the courts and tribunals of New South Wales.
33. Severability
If part of these Terms is found to be invalid, unlawful or unenforceable, that part will be read down to the minimum extent necessary.
If it cannot be read down, it will be removed without affecting the remaining Terms.
34. No Waiver
A failure or delay by either party in exercising a right does not waive that right.
A waiver is effective only when given in writing.
